Wave Nightlife LLC – Terms of Service
Effective Date: May 27, 2025
These Terms of Service (this “Agreement”) apply to your access or use of the Wave Nightlife LLC mobile application, website, and any associated content, features, and services (collectively, the “Wave Platform”) made available by Wave Nightlife LLC (“Wave,” “we,” “us,” or “our”).
In this Agreement, “User” or “you” means any person who accesses or uses the Wave Platform. This Agreement incorporates Wave’s policies, procedures, and terms referenced within or available through the Platform.
By accessing or using the Platform, or by clicking “accept” or “agree” where applicable, (1) you agree to be bound by this Agreement, and (2) you represent that you are of legal age and not prohibited from accessing or using the Platform under applicable laws. THIS AGREEMENT CONTAINS AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER.
We may update or revise this Agreement from time to time. You agree to review it periodically. Continued use of the Platform after changes are posted indicates your acceptance of the modified Agreement.
Part I – Services and Access
1. Platform Purpose Wave offers a nightlife planning and engagement platform for discovering, booking, and interacting with third-party venues, promoters, and nightlife experiences.
2. Account Requirements You may be required to register and maintain an account. You must provide accurate information and are responsible for maintaining the confidentiality of your login credentials. You agree to notify us of any unauthorized use or security breach.
3. Eligibility You must be at least 18 years old and legally able to form a binding agreement to use the Platform.
4. Reservation and Premium Features Wave facilitates table reservations, VIP entry, ticketing, and promotional services. Availability is subject to third-party venues. Some services may require credit card authorization or prepayment.
5. User Conduct You agree not to:
● Violate applicable laws
● Abuse or harass others
● Engage in fraud or impersonation
● Use bots, scrapers, or reverse engineering
● Misuse Wave services for commercial purposes without authorization
Part II – Transactions and Partner Interactions
6. In-App Payments and Charges Wave supports purchases including but not limited to:
● Cover charges
● Table and bottle service
● Event reservations
● Priority access and other premium features
All payments are final unless a refund is required by law. Third-party venues are responsible for service delivery and compliance with applicable law.
7. No-Show and Cancellation Venue policies govern penalties for no-shows or late cancellations. You agree to comply with cancellation requirements disclosed during booking.
8. Promoter and Venue Responsibilities Wave is not responsible for the conduct, pricing, or policies of promoters or venues. They are independent entities responsible for their own business practices, legal compliance, and representations.
Part III – Content, Rights, and Restrictions
9. User Content You may submit content (e.g., photos, messages, reviews). By doing so, you grant Wave a non-exclusive, royalty-free, sublicensable right to use, distribute, and display your content. You must have the rights to share any content you submit.
10. Intellectual Property and Proprietary Rights All rights, title, and interest in and to the Platform, including without limitation all software, source code, databases, functionality, design, text, photos, graphics, logos, videos, and trademarks, are owned or licensed by Wave Nightlife LLC. No rights are granted to you other than as expressly provided in this Agreement. You may not reproduce, modify, distribute, transmit, display, perform, or otherwise exploit any part of the Platform without prior written permission.
However, we welcome and encourage non-commercial sharing of publicly available content (e.g., screenshots, promotional graphics, videos) from the Platform for purposes such as social media promotion or personal recommendation, so long as such sharing does not misrepresent Wave, violate applicable law, or suggest a false affiliation or endorsement.
11. Prohibited Use – Reverse Engineering and Competitive Restrictions You agree not to:
● Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from the Platform
● Use the Platform or its features to create a competing product or service ● Copy any functionality, look and feel, user interface, or workflows of the Platform ● Circumvent, solicit, or engage directly with venues or promoters in a way that bypasses Wave’s systems or services
12. Commercial Use Restrictions Use of the Platform does not grant you any right to replicate, emulate, or adapt the concept, structure, or business model of Wave Nightlife LLC for commercial or competitive purposes. You may not use the Platform or its content for advertising, resale, or monetization without prior written consent from Wave.
13. Beta Disclaimer Certain features or services on the Platform may be offered in beta form and are subject to change or discontinuation at any time. You acknowledge and agree that such features may not be stable or uninterrupted and that there is no guarantee of their continued availability or performance.
14. Feedback Any feedback or suggestions you submit may be used by Wave without compensation or obligation to you.
Part IV – Disclaimers and Legal Terms
15. Disclaimers The Platform is provided “as is.” We do not guarantee uninterrupted or error-free service. Wave disclaims all warranties to the fullest extent permitted by law.
16. Limitation of Liability To the maximum extent permitted by law, Wave is not liable for indirect, incidental, special, or consequential damages. Our maximum liability to any user is $100.
17. Indemnity You agree to indemnify Wave against claims arising from your use of the Platform or violation of this Agreement.
18. Termination We may suspend or terminate your access to the Platform at any time for any reason. You may stop using the Platform at any time.
19. Export Control You may not access or use the Platform in violation of U.S. export laws. You represent that you are not located in a restricted country or on a restricted list.
Part V – Disputes and Governing Law
20. Arbitration and Waiver of Class Actions Any disputes will be resolved through binding arbitration in Illinois. You waive the right to participate in any class or representative actions.
21. Governing Law This Agreement is governed by Illinois law, excluding its conflict of law rules. You submit to jurisdiction in Cook County, Illinois, unless otherwise required by applicable law.
22. Severability If any provision is found unenforceable, the remainder of the Agreement will remain in effect.
23. Assignment You may not transfer your rights under this Agreement without our prior written consent.
